1. Acceptance of Terms

By accessing or using Verasign's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Verasign provides an electronic signature platform that enables users to send, sign, and manage documents electronically. Our services include document upload, signature requests, template creation, team collaboration features, and API access for integration with third-party applications.

3. User Accounts and Registration

To use certain features of our Service, you must register for an account. When you register:

• You agree to provide accurate, current, and complete information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must be at least 18 years old to create an account

4. Electronic Signatures Legal Compliance

Electronic signatures created through Verasign are intended to be legally binding under:

• The Electronic Signatures in Global and National Commerce Act (ESIGN Act) in the United States
• The Uniform Electronic Transactions Act (UETA) adopted by most U.S. states
• The eIDAS Regulation in the European Union
• Similar electronic signature laws in other jurisdictions

By using our service, you acknowledge that electronic signatures may have the same legal effect as handwritten signatures. However, you are responsible for ensuring that electronic signatures are appropriate for your specific use case and comply with any industry-specific regulations that may apply.

5. Subscription and Billing

Certain features of the Service require a paid subscription:

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change our prices with 30 days notice
• You authorize us to charge your payment method for all fees due
• Failure to pay may result in suspension or termination of your account

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Verasign and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of documents you upload, but grant us a limited license to process and store them as necessary to provide the Service.

7. Prohibited Activities

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Use the Service for fraudulent purposes
• Harvest or collect user information without consent

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERASIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Verasign and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may also terminate your account at any time by contacting us. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
